Anteile könnten an Trump-Regierung fallen – Gehört Hertha bald den USA?

Vor Miami ankert eine Yacht. Strahlend weiß, über 20 Meter lang, drei Kabinen, Sonnendeck. Sie steht zum Verkauf für rund 1,6 Mio. Euro. Der Name: „777“. Der bisherige Besitzer: Steven Pasko (76). Bis Anfang April saß der Investment-Manager im Aufsichtsrat der Hertha BSC GmbH & Co.KGaA, der Profi-Abteilung des Klubs. Dort ist er raus und braucht nun dringend Geld, ebenso wie sein Kollege Josh Wander (43). Deren Firma 777 Partners ist auch raus – aus allen Geschäften. Hertha hat ebenfalls einen neuen „Besitzer“, und das hat für den Berliner Fußballverein Folgen.

[–>Alles begann 2019. Unternehmer Lars Windhorst (48) kauft sich bei Hertha ein, zahlt insgesamt 374 Mio. Euro. 2023 gibt er seine Anteile an die US-Investment-Firma 777 weiter – dem Vernehmen nach für nur 15 Mio. Euro. Wander und Pasko sehen Hertha als weiteren Klub ihrer weltweiten Fußball-Expansion. Doch inzwischen hat Melbourne Victory seine Anteile in Australien zurückgekauft, Standard Lüttich ist in Belgien wegen Steuer-, Gehalts- und Ablöse-Schulden mit einem Transferverbot belegt, das italienische Finanzministerium untersucht Betrugsverdachtsfälle beim FC Genua, und die Anteile am FC Sevilla sind von spanischen Gerichten eingefroren worden, Gelder sind beschlagnahmt.

Hintergrund: 777 ist pleite, befindet sich in der Auflösung. Betrugsklagen in einer Höhe von fast einer Milliarde Dollar drohen. Die amerikanische Ver­sicherungs- und Kapital-­Firma „A-Cap“ hat alle Anteile an den Fußballklubs übernommen. Daher sitzt bei Hertha nun deren Manager David Ellis Shaw (49) im Aufsichtsrat.

Aber: Auch A-Cap ist unter Beschuss. Dem Unternehmen drohen Klagen wegen Geldwäsche und Betrugs. Daher wollen die US-Bundesstaaten Utah und South Carolina die Kontrolle über alle Firmen, die zum Konsortium gehören, übernehmen. Vor allem über die Fußballklubs. Denn es seien vor allem diese Investitionen, die zur Pleite geführt und vielen amerikanischen Versicherungsnehmern Geld gekostet haben.

Schon jetzt fordern US-Aufsichtsbehörden den Verkauf der Anteile an Hertha BSC und Co. Doch noch weigert sich A-Cap. Daher strengen die amerikanischen Behörden nun juristische Schritte an. Danach könnten zunächst die Bundesstaaten und in letzter Instanz die USA mit seiner Börsenaufsicht und dem Justiz- sowie Finanzministerium der Trump-Regierung die Fußballvereine kontrollieren.

Ein Dauerzustand soll das freilich nicht werden. Die Ämter würden die Firmenanteile so schnell wie möglich verkaufen wollen.

Was bedeutet das für Hertha? Die Berliner haben bei jeder Anteilsveräußerung ein Vorkaufsrecht, das wegen der schwierigen Finanzlage wohl nicht wahrgenommen werden kann. Und Hertha hat ein Vetorecht, wenn der künftige Anteilseigner festen Voraussetzungen (Ethik, Branche, Gesetzen) widersprechen würde.

Klar scheint, dass Hertha eingeplantes Geld wohl verlieren wird. Aktuell besteht ein rechtlicher Anspruch gegenüber 777 von 4,9 Mio. Euro. Das Geld wäre Ende 2023 fällig gewesen, wurde aber nicht gezahlt. Zudem stehen 25 Mio. Euro aus, die Hertha vom ehemaligen Anteilseigner für den Fall einer fehlenden Kapitaldeckung bekommen sollte. Ob beide Ansprüche auf 777-Nachfolger übertragbar sind, scheint fraglich.

Die Lizenz für die 2. Liga soll durch die Verschiebungen nicht bedroht sein. Allerdings wird die wirtschaftliche Lage für die kommenden Spieljahre dadurch nicht einfacher zu planen.
