Wegen Leverkusen und Wolfsburg – Jetzt wackelt die 50+1-Regel

Ein dickes Brett muss die DFL in der Auseinandersetzung mit dem Bundeskartellamt um die 50+1-Regel bohren. Drei konkrete Maßnahmen „empfiehlt“ die Bonner Behörde, um die Investoren-Vorschrift zu erhalten. Schon wird in der Liga über drohende Folgen diskutiert: eine Spaltung der 36 Klubs in 50+1-Befürworter und -Gegner. Und jahrelange Klagen bis vor den Europäischen Gerichtshof (EuGH), um die Regel zu kippen!

► Maßnahme 1 betrifft die Werksklubs Leverkusen und Wolfsburg. Einen dauerhaften Bestandsschutz für die beiden 50+1-Ausnahmen lehnt das Kartellamt ab. Es müsse gesichert sein, dass überall der Mutterverein (e. V.) einen beherrschenden Einfluss auf die ausgegliederte Profifußball-Gesellschaft habe. Bedeutet: Die DFL wird ihre Satzung ändern müssen. Möglich sind zwei Varianten.

Variante 1: Eine Kompromisslösung, die dem Kartellamt schon 2023 vorgelegt und zunächst akzeptiert wurde, wird überarbeitet. Indem in Leverkusen und Wolfsburg eine Mitgliederpartizipation ermöglicht wird, die der bei 50+1-konformen Vereinen noch näher kommt – aber ohne die Übertragung von 50+1-Stimmrechten.

Dem Mutterverein wird dafür neben mindestens einem Platz im Aufsichtsrat der Profifußball-KG sogar mehr als die ursprüngliche Handvoll Vetorechte bei bestimmten Themen (z. B. Änderung des Namens, des Logos, der Farben und des Sitzes eines Klubs, wesentliche Reduzierung der Stehplätze) eingeräumt.

Aber: Eine solche Satzungsänderung, die für alle 36 Klubs gelten würde, bräuchte eine Zweidrittel-Mehrheit (24). Mancher Klub-Boss könnte die Chance sehen, sich für eine vermeintliche jahrzehntelange Wettbewerbsverzerrung durch die beiden 50+1-Ausnahmen zu revanchieren. Und dagegen stimmen.

Variante 2: In der DFL-Satzung wird die Ausnahmeregel nach einer Übergangszeit gestrichen, die Bayer AG und VW AG müssten dann 50+1-Stimmrechte an den Mutterverein übertragen. Die Konzerne prüfen nun als 100-prozentige Eigentümer ihrer Fußball-GmbH, ob eine Partizipation des e. V. eine Enteignung darstellt. Sie sind verpflichtet, den Besitz ihrer Aktionäre zu schützen, andernfalls würden sich die ­Konzern-Vorstände strafbar machen. Bayer 04 und der VfL Wolfsburg kündigten bereits an, sich „alle rechtlichen Schritte vorzubehalten“.

[–>► Maßnahme 2 betrifft das Gros der Vereine. Das Kartellamt verlangt von der DFL, dass diese bei ihren Abstimmungen sicherstellt, dass sich der Geschäftsführer einer GmbH an die Weisung des Muttervereins hält. Auslöser war der DFL-Investorenprozess Anfang 2024: Martin Kind (81) war vom Hannover 96 e. V. angewiesen worden, gegen den geplanten Einstieg eines Investors zu stimmen. Angeblich soll sich Kind nicht daran gehalten haben – wofür es allerdings keine Beweise gibt, da die Abstimmung geheim durchgeführt wurde.

Welche Kontroll-Möglichkeiten hat die DFL? Sie könnte sich im Vorfeld einer Abstimmung bei den Muttervereinen informieren, welche Weisung die ihren Geschäftsführern gegeben haben. Und in einer offenen Abstimmung überprüfen, ob diese sie befolgen. Doch was, wenn ein Antrag kurzfristig geändert wird? Müssen die Geschäftsführer dann per Handy eine neue Weisung einholen? Ebenso absurd, dass neben den GmbH-Geschäftsführern, die das Bundesliga-Business aus dem Effeff kennen, künftig die im Profifußball meist unbeleckten e. V.-Präsidenten als Aufpasser sitzen.

Anders sieht es bei den Klubs aus, die ihre Profi-Abteilung als AG ausgegliedert haben. Hier gibt es kein Weisungsrecht des Muttervereins und des Aufsichtsrats gegenüber dem Vorstand. Sondern der e. V. sitzt mit im Aufsichtsrat, der den Vorstand heuert und feuert.

Das Modell der AG – Beispiele sind Bayern, Frankfurt und Stuttgart – werde vor diesem Hintergrund Rückenwind bekommen. Ein sogenannter Rechtsformwandel, den die GmbH-Geschäftsführung verantworten würde, lässt sich in drei bis sechs Monaten für überschaubares Geld – 50 000 bis 100 000 Euro – bewerkstelligen. Aber: Die Gesellschafter-Versammlung – also auch der e. V. – müsste dem Rechtsformwandel zustimmen.

► Maßnahme 3 betrifft RB Leipzig. Das Kartellamt moniert, dass nicht alle Vereine ihren Fans die Möglichkeit bieten, als stimmberechtigtes Mitglied aufgenommen zu werden. Die DFL müsse für einen offenen Zugang sorgen. RB hat rund 1100 Mitglieder – alles Sporttreibende oder Förder-Mitglieder ohne Stimmrecht. Und nur 23 mit Stimmrecht, die teilweise dem Investor Red Bull nahestehen.

Es wird damit gerechnet, dass die DFL den 36 Klubs per Satzungsänderung vorschreiben wird, dass diese grundsätzlich offen sein müssen für die Aufnahme von stimmberechtigten Mitgliedern. Das impliziert, dass keine neuen Hürden durch exorbitant hohe Beiträge aufgebaut werden dürfen. Und die Ablehnung eines Aufnahmeantrags gut begründet sein muss.

Diese Lösung birgt wenig Konfliktpotenzial. RB könnte durch eine moderate Änderung der Vereinssatzung die Zahl seiner Mitglieder erhöhen – zumal bisher ohnehin kein Antrag vom Vorstand abgelehnt wurde.

Da das Kartellamt nur rechtsunverbindliche Empfehlungen ausspricht, können Klubs juristisch nur gegen die DFL vorgehen.
